1.1. "Client" refers to an individual or a legal entity registered on the S D STAR FX LTD website (hereinafter referred to as the 'Company').
1.2. "Introducing Broker (IB)" is a Client whose application for IB status, submitted through the Company's website, has been approved by the Company.
1.3. "Referral Link" is a unique link to the Company's website that includes an IB identifier. The Referral Link is the primary means by which IBs attract and monitor Clients.
1.4. "IB Commission" is the payment made by the Company to the IB for their clients' trading activities.
1.5. "Wallet" is a dedicated account for transactions and financial settlements, where the IB Commission is credited.
1.6. "Active Client" refers to a Client on the Company's website whose trading accounts collectively hold funds of $100 or more, have at least one Valid Order closed within the last 15 days from the date, with no withdrawals from the deposit, and have traded 0.5 Lot.
1.7. "Valid Order" is a trade that meets all of the following conditions: 1.7.1. The trade lasts for 180 seconds or more. 1.7.2. The difference between the Open Price and Close Price of the order equals or exceeds 30 points (3 pips in 4-digit precision terms). 1.7.3. The order was not opened or closed through Partial Close and/or Multiple Close.
1.8. "IB Level" is a specific status that determines the value of the IB Commission. The table of IB Levels is as follows:

2.1. The "Introducing Broker Agreement" (hereinafter referred to as the 'Agreement') defines the relationship between the IB and the Company (collectively referred to as the 'Parties,' individually as 'Party'). All interactions, relationships, and cooperation between the IB and the Company are exclusively governed by this Agreement.
2.2. If a situation arises that is not covered by the Agreement, the Company will address it in good faith and fairness, taking actions consistent with market practice. The IB agrees that the Company's decision in such cases will be final.
2.3. The Agreement becomes effective when the IB's application is approved, and it is considered valid, signed, and functional once the IB receives approval for their application.
2.4. The Agreement does not imply an employer-employee relationship. The IB is not considered a representative of the Company, and the Company is not responsible for the actions or inactions of the IB.
2.5. Any situation not described in these rules will be subject to the Company's decision.
2.6. The Company reserves the right to change, update, or cancel this program without prior notice.
3.1. The IB has the following entitlements:
3.1.1. Promote the Company's services, website, promotions, special offers, and related information.
3.1.2. Undertake actions compliant with applicable local and international laws and business ethics to attract clients.
3.1.3. Open profiles for Clients using the Referral Link.
3.1.4. Receive IB Commission for Client's trades.
3.1.5. Perform internal transfers from the IB's trading account or Wallet to Clients' accounts.
3.1.6. Provide Clients with the Company's information, news releases, updates, or related information
3.2. The IB agrees to:
3.2.1. Operate in full compliance with applicable local and international legislation.
3.2.2. Immediately inform the Company of any interference with the IB's activities.
3.2.3. Put forth maximum effort to acquire Clients for the Company.
3.2.4. Maintain confidentiality regarding information related to the Company, whether explicit or implicit, and available to the IB.
3.2.5. Notify the Company of any facts or circumstances that could pose potential risks to the Company if known to the IB.
3.2.6. Inform potential Clients about the risks of Forex trading before they open real accounts.
3.2.7. Inform potential Clients about the IB's status and privileges before entering into any agreements.
3.2.8. Promptly update the Company about any changes in the IB's contact information.
4.1. The Company undertakes to:
4.1.1. Provide the IB with necessary assistance to fulfill the obligations set forth in the Agreement.
4.1.2. Pay the IB Commission as per the Agreement.
4.1.3. Offer the full range of the Company's services, as detailed in the Customer Agreement, to Clients attracted by the IB.
4.1.4. Provide execution for IB Clients' orders and calculate the IB Commission due. However, the Company does not provide transaction statements to Clients.
5.1. The IB is prohibited from:
5.1.1. Using deceptive or fraudulent advertising to promote the Company's services. This includes, but is not limited to:
5.1.1.1. Active Promotion Systems (APS) 5.1.1.2. Advertising on indecent (including pornographic) websites. 5.1.1.3. Advertising on websites that do not comply with the IB's country's legislation. 5.1.1.4. Engaging in spam and spamdexing. 5.1.1.5. Using misleading or inaccurate service descriptions or failing to explain risks and services to customers. 5.1.1.6. Any other fraudulent advertising methods. 5.1.1.7. Registering and/or using domains containing the Company's name or branding.
5.1.2. Incorporating or using a legal entity containing the Company's name or branding.
5.1.3. Acting as the Company's representative.
5.1.4. Using the Company's direct URL in any PPC systems
